Software License Agreement

1. Definitions

• "We", "Us", "Our", "Licensor" — Refers to Homestead Enterprises LLC doing business as AppTunnel.io.
• "Software" — The AppTunnel platform, including apptunnel-server, apptunnel-tray, apptunnel-runner, web admin portal, and all related components.
• "Authorized Seat" — One (1) running instance of the apptunnel-tray application on a single physical or virtual machine. Each machine on which apptunnel-tray is installed, running, or able to establish a tunnel connection constitutes one (1) Authorized Seat, without regard to: (i) the operating-system user account or credentials in use on that machine; (ii) whether multiple machines share the same account name, domain identity, service account, or login credentials; or (iii) whether the machine is physical, virtual, a terminal-services session host, or a remote-desktop host.
• "Licensed Seat Count" — The maximum number of Authorized Seats Licensee is permitted to operate concurrently, as purchased and encoded in the License Key.
• "License Key" — The unique identifier issued by Licensor that activates the Software up to the Licensed Seat Count and other limits defined in the License Key.
• "Licensed Capacity" — The combined set of limits (seats, tunnels, environments, storage, etc.) encoded in the License Key or purchase order, including the Licensed Seat Count.

2. Grant of License

Subject to timely payment of all applicable fees and strict compliance with this Agreement, Licensor grants Licensee a limited, non-exclusive, non-transferable, revocable license to install and use the Software solely for Licensee's internal business operations, subject to the Licensed Capacity and Subscription Term.

This is a commercial, paid license for business use only.

3. License Restrictions

Licensee shall not, and shall not permit any third party to:

• Copy, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works of the Software.
• Remove, obscure, or alter any copyright, trademark, or proprietary notices.
• Rent, lease, sublicense, distribute, sell, or otherwise transfer the Software or License Key.
• Use the Software to provide services to third parties (except as an authorized Managed Service Provider under a separate written agreement).
• Bypass, circumvent, or disable any license enforcement or usage limits.
• Exceed the Licensed Capacity.
• Deploy, install, or operate apptunnel-tray on more machines than the Licensed Seat Count. For the avoidance of doubt, a single operating-system username, Active Directory account, service account, or other shared credential used across multiple machines does not reduce the number of Authorized Seats consumed — each machine on which the tray application is installed or running constitutes a separate Authorized Seat.

4. Ownership

All right, title, and interest in the Software, including all intellectual property rights, remain exclusively with Licensor. This Agreement grants only a limited license. No ownership rights are transferred.

5. Seat Counting and License Enforcement

5.1 Per-Seat Basis. This Agreement is licensed on a per-seat basis. One (1) Authorized Seat equals one (1) physical or virtual machine running apptunnel-tray. Licensing is not tied to individual named users, operating-system accounts, or identities — it is tied to machines.

5.2 Server-Side Enforcement. The apptunnel-server component actively enforces the Licensed Seat Count. Connection requests from machines in excess of the Licensed Seat Count will be refused. Licensee acknowledges this enforcement mechanism and agrees not to attempt to circumvent it.

5.3 Shared Credentials. Where multiple machines use the same operating-system username, Active Directory account, service account, or other shared credential to run apptunnel-tray, each such machine constitutes a separate Authorized Seat. The fact that all machines authenticate under one identity name does not collapse them into a single seat. Licensee shall ensure its Licensed Seat Count is sufficient to cover all machines, regardless of how credentials are configured.

5.4 Authoritative Record. The Licensor's license server is the authoritative source for Authorized Seat counts. In any dispute regarding seat utilization, the license server's records shall prevail.

6. Payment and Fees

Licensee shall pay all fees as specified in the purchase order or invoice. Fees are non-refundable except as expressly stated in writing.

7. Term and Termination

This Agreement begins on the date of purchase and continues for the Subscription Term. Licensor may terminate this Agreement immediately if Licensee breaches any material term, exceeds the Licensed Capacity, or fails to pay fees when due.

8. Disclaimer of Warranties & Limitation of Liability

The Software is provided "as is" without any warranties. Licensor shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

Licensor's total liability shall not exceed the total amount paid by Licensee in the twelve (12) months preceding the claim.

9. Governing Law

This Agreement is governed by the laws of the State of Wyoming, United States. Any disputes shall be resolved exclusively in the state or federal courts located in Cheyenne, Wyoming.

10. Entire Agreement

This Agreement constitutes the entire understanding between the parties.
